Terms of Service

1. Introduction

Welcome to LinguaPhil. These Terms of Service ("Terms") govern your use of our website, services, and language courses (collectively, our "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our Services.

2. Definitions

• "LinguaPhil," "we," "us," or "our" refers to LinguaPhil Language Center, its subsidiaries, affiliates, and language learning facilities.
• "You," "your," or "user" refers to the person or entity accessing or using our Services.
• "Services" refers to our website, language courses, educational materials, and other offerings.
• "Content" refers to text, images, audio, video, and other materials displayed on or through our Services.

3. Eligibility

You must be at least 18 years old to enter into this agreement and use our Services. If you are under 18, you may only use our Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

4. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for any activities or actions under your account. We reserve the right to disable any user account at any time if we believe you have violated these Terms.

5. Course Enrollment and Payment

5.1 Course Enrollment

Enrollment in our language courses is subject to availability and acceptance of your application. We reserve the right to refuse enrollment to any applicant at our discretion.

5.2 Payment Terms

Course fees must be paid in full before the start of the course unless a payment plan has been explicitly arranged. All fees are non-refundable except as specified in our refund policy (Section 5.4).

5.3 Price Changes

We reserve the right to adjust pricing for our courses at any time. Any price changes will not affect courses that have already been paid for.

5.4 Refund Policy

Refunds are available under the following conditions:

• If you cancel your enrollment at least 14 days before the course start date, you will receive a full refund minus a ₱2,000 administrative fee.
• If you cancel your enrollment between 7-13 days before the course start date, you will receive a 50% refund.
• No refunds will be issued for cancellations made less than 7 days before the course start date.
• If a course is canceled by LinguaPhil, you will receive a full refund or the option to transfer to another course.

All refund requests must be submitted in writing.

6. Course Attendance and Participation

6.1 Attendance

Regular attendance is expected for all enrolled students. Missing more than 20% of classes may result in inability to receive a certificate of completion.

6.2 Rescheduling Classes

Individual classes may be rescheduled only with at least 24 hours' notice and are subject to availability. Each student is limited to rescheduling a maximum of 3 classes per course.

6.3 Course Materials

All course materials provided by LinguaPhil are for personal use only and may not be reproduced, distributed, or shared without our explicit permission.

7. Intellectual Property Rights

The content, features, and functionality of our Services, including but not limited to text, graphics, logos, images, audio, video, and educational materials, are owned by LinguaPhil and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services or included content without our explicit permission. You may not reverse engineer or attempt to extract the source code of our software.

8. User Conduct

When using our Services, you agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Submit false or misleading information
• Upload or transmit viruses or malicious code
• Interfere with or disrupt our Services
• Harass, abuse, or harm another person
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of our Services

9. Limitation of Liability

To the maximum extent permitted by law, LinguaPhil and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, resulting from:

• Your access to or use of, or inability to access or use, our Services
• Any conduct or content of any third party on our Services
• Any content obtained from our Services
• Unauthorized access, use, or alteration of your transmissions or content

10. Indemnification

You agree to indemnify, defend, and hold harmless LinguaPhil and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your conduct in connection with our Services

11. Termination

We reserve the right to terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including, but not limited to, breach of these Terms.

Upon termination, your right to use our Services will immediately cease. If you wish to terminate your account, you may simply discontinue using our Services or contact us to request account deletion.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law principles.

13. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use our Services.

14. Force Majeure

LinguaPhil shall not be liable for any failure to perform its obligations where such failure is a result of acts of nature (including fire, flood, earthquake, storm, hurricane, or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout, or interruption or failure of electricity or telephone service.
